These Seller Terms and Conditions (“Terms”) form a legally binding agreement between you (“Seller”) and Paudhewale.com (“Platform”, “we”, “our”, or “us”). By registering as a seller and listing products on Paudhewale.com, you agree to comply with these Terms, which govern your use of our services.

1. Definitions

• “Platform” refers to Paudhewale.com, the online marketplace that facilitates the sale of products by third-party sellers.
• “Seller” refers to any individual or business entity registered to sell products on Paudhewale.com.
• “Customer” refers to any individual or business entity purchasing products through Paudhewale.com.
• “Products” refer to the goods listed for sale by the Seller on Paudhewale.com.
• “Order” refers to the purchase of products by a Customer through Paudhewale.com.

2. Eligibility to Sell

• Legal Compliance: The Seller must be a legally recognized business entity or individual capable of entering into legally binding contracts under applicable laws. Sellers must comply with all applicable local, state, and federal laws, regulations, and industry standards related to the sale of products.
• Accurate Information: Sellers must provide accurate and up-to-date information during registration and maintain the accuracy of this information throughout the term of their engagement with Paudhewale.com.

3. Product Listings and Content

• Product Authenticity: Sellers are required to list only genuine products. Counterfeit, illegal, or unauthorized products are strictly prohibited.
• Accurate Descriptions: Product listings must be accurate, including titles, descriptions, specifications, pricing, and images. Misleading or false information can result in account suspension or termination.
• Prohibited Products: Sellers are prohibited from listing any products that are illegal, dangerous, or otherwise restricted under applicable laws. 
• Content Ownership: By listing products on Paudhewale.com, Sellers grant us a non-exclusive, royalty-free, worldwide license to use, reproduce, modify, and display the content provided in the product listings.

4. Pricing and Payments

• Pricing Control: Sellers have full control over the pricing of their products, but prices must be competitive and reflect the true value of the product. Price gouging or artificially inflating prices is prohibited.
• Payment Processing: Payments for products sold on Paudhewale.com will be processed through our payment gateway. The Seller will receive the sale amount minus applicable fees and commissions.
• Payout Schedule: Payments to Sellers will be disbursed according to the payout schedule outlined during onboarding process. Paudhewale.com reserves the right to withhold payouts for investigation in case of disputes or potential policy violations.

5. Fees and Commissions

• Commission Structure: Paudhewale.com charges a commission on each sale made through the platform. The commission rate is different for different categories, and it is automatically deducted from the sale amount before disbursement. The commission chart will be shared during onboarding, and it is subject to change.
• Listing Fees: Zero Listing fees.
• Other Charges: Additional charges may apply for optional services such as advertising, promotional tools, or enhanced visibility features. All fees and charges are non-refundable.

6. Order Fulfillment and Shipping

• Timely Fulfillment: Sellers are required to fulfill and ship orders within the specified handling time, which should not exceed 2 business days. Delays must be communicated promptly to the Customer and Paudhewale.com.
• Shipping Standards: Products must be shipped using reliable carriers, and Sellers are responsible for ensuring that products are packaged securely to prevent damage during transit.
• Tracking Information: Sellers must provide accurate tracking information for all orders. Failure to provide tracking information or the provision of false tracking data may result in penalties.
• Replacement and Refunds: Paudhewale.com does not accept returns for plants. However, Sellers must offer replacements or refunds in case of damaged or defective products. 

7. Customer Service and Dispute Resolution

• Dispute Handling: Any disputes between the Seller and the Customer must be resolved in accordance with the procedures outlined in the seller dashboard. Paudhewale.com reserves the right to mediate disputes and make final decisions.
• Arbitration: In the event of unresolved disputes, both the Seller and Paudhewale.com agree to submit to binding arbitration as the exclusive method of dispute resolution.

8. Compliance and Legal Obligations

• Tax Obligations: Sellers are responsible for complying with all tax obligations, including the collection, reporting, and remittance of any applicable taxes. Paudhewale.com may provide tax collection and remittance services in certain jurisdictions, but Sellers should not rely solely on these services.
• Intellectual Property: Sellers must respect intellectual property rights and ensure that all product listings and associated content do not infringe upon the rights of any third party.
• Prohibited Practices: Engaging in practices such as fake reviews, misleading advertising, or manipulation of ratings is strictly prohibited and will result in immediate suspension or termination of the Seller’s account.

9. Account Suspension and Termination

• Grounds for Suspension: Paudhewale.com reserves the right to suspend or terminate a Seller’s account for violations of these Terms, poor performance, or any activity that jeopardizes the safety, integrity, or reputation of the platform.
• Notice of Suspension: In the event of a suspension, the Seller will be notified via email with the reasons for the suspension and the steps required to resolve the issue.
• Permanent Termination: Severe violations, such as the sale of prohibited products, fraudulent activity, or repeated policy breaches, will result in permanent termination without notice. The Seller will forfeit any pending payouts in such cases.

10. Confidentiality and Data Protection

• Customer Data: Sellers must handle all Customer data in accordance with our Privacy Policy and applicable data protection laws. Unauthorized use, sharing, or selling of Customer data is strictly prohibited.
• Platform Data: Sellers must keep confidential any proprietary information or data received from Paudhewale.com. This includes, but is not limited to, platform performance metrics, algorithms, and internal communications.

11. Amendments and Updates

• Policy Changes: Paudhewale.com reserves the right to amend these Terms at any time. Sellers will be notified of any significant changes via email or the seller dashboard. Continued use of the platform after the changes take effect constitutes acceptance of the new Terms.
• Version Control: Sellers are encouraged to review these Terms regularly. The latest version will always be available in the seller dashboard.

12. Limitation of Liability

• No Warranty: Paudhewale.com provides the platform on an “as-is” basis and makes no warranties regarding its availability, accuracy, or suitability for any purpose.
• Indemnification: The Seller agrees to indemnify and hold Paudhewale.com harmless from any claims, losses, liabilities, or expenses arising out of the Seller’s breach of these Terms or any applicable laws.

13. Governing Law and Jurisdiction

• Governing Law: These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.
• Jurisdiction: Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts of Patna/India. The Seller consents to the jurisdiction and venue of such courts.
