These Seller Terms & Conditions (“Agreement” / “Terms”) constitute a legally binding agreement between the seller (“Seller”, “You”, “Your”) and Paudhewale (“Platform”, “We”, “Us”, “Our”), governing the use of the Paudhewale marketplace and the sale of goods and/or services to customers through the Platform.
By registering as a Seller and offering products for sale on Paudhewale, you acknowledge that you have read, understood, and agreed to be bound by these Terms and all applicable policies as updated from time to time.
1.1 “Platform” means Paudhewale.com, its mobile application, and any digital marketplace operated under the Paudhewale brand.
1.2 “Seller” means any individual, firm, partnership, or company registered and approved by Paudhewale to list, market, and sell products on the Platform.
1.3 “Customer” means any individual or entity purchasing products from the Platform.
1.4 “SLA” (Service Level Agreement) means the standard dispatch and delivery timelines stipulated by Paudhewale, unless otherwise notified. The standard SLA for dispatch is 48 hours from receipt of order confirmation.
1.5 “RTO” (Return to Origin) means an order returned to the Seller due to unsuccessful delivery or rejection by the Customer.
1.6 “Payouts” means the settlement of payments by Paudhewale to the Seller for successful transactions, after applicable deductions.
2.1 Sellers must complete full KYC (PAN, GST, Bank Account, Aadhaar/Business ID) before being allowed to list products.
2.2 Paudhewale reserves the right to suspend or withhold payouts until KYC verification is successfully completed.
3.1 All Sellers must comply with applicable GST invoicing norms.
3.2 Paudhewale may deduct TDS/TCS as per applicable laws before settlement.
3.3 Any tax non-compliance by the Seller shall not bind Paudhewale, and the Seller shall indemnify Paudhewale from any related liability.
4.1 The Seller shall ensure that all product listings are accurate, complete, and comply with Indian laws, including but not limited to the Legal Metrology Act, 2009, GST laws, FSSAI regulations, and the Consumer Protection Act, 2019.
4.2 The Seller shall not engage in any unlawful, fraudulent, or misleading practices, including:
False representation of MRP, product quality, or brand.
Sale of counterfeit, illegal, or restricted goods.
Misuse of customer information obtained through the Platform.
4.3 The Seller shall ensure safe, tamper-proof, and secure packaging of products to avoid damage during transit.
4.4 The Seller shall promptly update order status (Packed, Shipped, Delivered) in compliance with Paudhewale’s processes.
5.1 All Sellers are required to comply with Paudhewale’s Order Processing & SLA Policy, which outlines the timelines, responsibilities, and conditions for order dispatch, shipping, delivery, and exception handling.
5.2 Shipping cost responsibilities, late dispatch rules, RTO handling, cancellation charges, and penalties will be governed strictly as per the Order Processing & SLA Policy.
Sellers are advised to review this policy regularly.
5.3 Perishable products, including live plants, must be handled as per the guidelines defined in the Order Processing & SLA Policy, which includes return handling, disposal rules, and customer-side protocols.
5.4 Any SLA exceptions, address discrepancies, or special handling requests must be communicated to Paudhewale in accordance with the SLA Policy procedures.
5.5 Repeated non-compliance with the SLA obligations outlined in the policy may result in penalties, temporary suspension, or permanent termination of the Seller’s account.

6.1 RTO Charges:
The Seller shall bear RTO charges if the return is due to:
Wrong product shipped.
Damaged or defective product.
6.2 Refunds:
If refunds are initiated due to product damage, non-conformance, or customer dissatisfaction, the Seller will bear the entire order value.
6.3 Non-Seller Fault RTO:
For RTO cases arising due to incorrect customer address, PIN code mismatch, or customer refusal not attributable to the Seller, Paudhewale will assess liability on a case-by-case basis.
7.1 Payouts to Sellers shall be processed weekly (Saturday–Sunday, within 48 hours) for all delivered and completed orders of the preceding week.
7.2 Paudhewale shall have the right to deduct amounts payable by the Seller, including but not limited to:
Refund amounts.
RTO charges.
Penalties.
Any other dues arising under these Terms.
8.1 Sellers must ensure that all products listed are genuine, safe, and compliant with BIS, FSSAI, or other applicable standards.
8.2 Expired, unsafe, prohibited, or recalled products must not be listed.
8.3 If any regulatory penalty arises due to non-compliant products, the Seller shall fully indemnify Paudhewale.
9.1 Sellers are prohibited from listing or selling: counterfeit goods, narcotics, weapons, firecrackers, endangered plants, or any products restricted by law.
9.2 Paudhewale may delist such items immediately, without prior notice, and initiate legal action.
10.1 Sellers shall not list products on Paudhewale at a price higher than the price offered on other platforms or their own website.
11.1 Sellers are responsible for maintaining real-time stock availability.
11.2 Orders cancelled due to “Out of Stock” may attract penalties.
12.1 The Seller agrees to indemnify and hold Paudhewale harmless against all claims, losses, damages, penalties, and expenses arising from:
Defective/damaged products.
Violation of laws.
Intellectual property infringement.
Customer disputes.
13.1 Sellers must provide after-sales support, including warranty, service, or replacement, if applicable.
13.2 Sellers shall not directly solicit or market to Paudhewale customers outside the Platform (including WhatsApp, email, or SMS promotions).
14.1 All customer information shared with Sellers shall remain the exclusive property of Paudhewale.
14.2 Sellers shall not misuse customer data for marketing, resale, or unlawful purposes.
15.1 Paudhewale may suspend payouts if suspicious activity is detected, including but not limited to:
Fake orders.
Fake deliveries.
Return manipulation.
15.2 Seller accounts found engaging in fraudulent activity may face legal action and termination.
16.1 Sellers must ensure that all listing parameters (title, description, price, MRP, weight, images, specifications, disclaimers) are clearly, accurately, and truthfully filled.
16.2 No misleading information, unvalidated facts, or unnatural claims shall be included in product listings (e.g., exaggerated health benefits, unverifiable features).
16.3 Paudhewale reserves the right to delist or suspend any products found to violate this clause.
17.1 Paudhewale reserves the right to audit Seller records, packaging processes, and dispatch operations at any time.
18.1 Paudhewale may levy penalties for:
Delayed dispatch.
Repeated customer complaints.
Listing prohibited or counterfeit items.
18.2 Repeated violations may result in suspension or permanent termination of Seller accounts.
18.3 Paudhewale reserves the right to recover any losses, costs, or damages caused due to Seller’s non-compliance.
19.1 The Seller warrants that all products listed are genuine and that they hold lawful rights to sell such products.
19.2 Paudhewale reserves the right to delist or block products found to infringe third-party intellectual property rights.
20.1 Paudhewale reserves the right to:
Modify, suspend, or discontinue services at its sole discretion.
Withhold payouts in cases of disputes, investigations, or fraud.
Initiate legal proceedings for recovery of dues or damages caused by the Seller.
21.1 Paudhewale shall not be liable for:
Losses arising from incorrect Seller listings.
Customer cancellations unrelated to Seller negligence.
Delays caused by force majeure events (natural calamities, strikes, etc.).
22.1 Paudhewale may terminate this Agreement immediately upon:
Repeated SLA violations.
Proven fraudulent or illegal activities by the Seller.
Non-compliance with applicable laws or these Terms.
22.2 Termination does not absolve the Seller of liabilities incurred prior to termination.
23.1 Neither Party shall be liable for any delay or failure in performance caused by events beyond reasonable control (natural calamities, war, strikes, etc.).
24.1 All official communication shall be via the Seller Dashboard or registered email ID.
24.2 Notices sent electronically by Paudhewale shall be deemed validly delivered.
25.1 This Agreement shall be governed by and construed in accordance with the laws of India.
25.2 Any disputes arising out of this Agreement shall be subject to the exclusive jurisdiction of the courts at Patna, Bihar.
26.1 Paudhewale reserves the right to amend these Terms at its sole discretion. Updated policies will be notified via the Seller Dashboard or email. Continued use of the Platform by the Seller shall constitute acceptance of such amendments.
26.2 If any provision of this Agreement is found invalid or unenforceable, the remaining provisions shall continue in full force and effect.
